Effective from (... August 2020).
1.1 You must be a registered member before engaging in any of our services. You shall be required to key in your personal data including your photograph before successfully registering your account with us.
1.2 You may not be able to access certain parts of our App or services without first registering an account with us.
1.3 Upon accessing our services, you must not tamper with, destroy, or attempt to reconfigure or use any parts of our App and/or our systems that are non-public.
2.1 Only persons who have attained the legal age of consent may engage in our services. 2.2 You must therefore be eighteen (18) years and above in order to participate.
2.3 No children are allowed to use the services of DeafMatrix and in case of any breach DeafMatrix reserves the right to close down the account without prior notice.
2.4 You must be allowed to use our services by the laws of your home country before registering for our services.
3.1 There are two options for creating account with DeafMatrix: 1. through manually opening an account, or 2. joining through Facebook.
3.2 Should you opt to join through Facebook account then you authorise DeafMatrix to obtain, use and display certain details from your Facebook account including but not limited to Facebook friends, location, profile picture, posts, relationship status and preferences among others.
3.3 You Must Not use anyone’s account without their express consent and authority. Any such use of another person’s account shall be treated as fraud by DeafMatrix and could lead to suspension and termination of your account without prior notice.
3.4 DeafMatrix reserves the right to block certain IP addresses from accessing its services and no liability may arise whatsoever from such action.
4.1 You may delete your account at any time and for any reason by first login into your account and clicking on the ‘Settings’ menu. You will see a drop down of items, click on the ‘Delete account’.
4.2 DeafMatrix will complete the deletion of your account immediately after you follow the process highlighted under paragraph 4.1. above but your personal information may be retained for up to Thirty (30) days.
4.3 DeafMatrix reserves an exclusive right to suspend or terminate any account for any reason without prior notice and/or warning. No liability may arise whatsoever from such action and DeafMatrix may use any legal, operational, technological and or other means that are available to it in enforcing these Terms.
5.1 DeafMatrix shall keep your login information and personal information for a period of Thirty (30) days after deleting your account as explained under paragraph 4.0. above. During this period, you can reactivate your account by logging in using your previous login credentials.
5.2 Furthermore, you may not create new account using the same credentials that you used in your deleted account during this period of thirty days after deleting your account. However, DeafMatrix shall reactivate your previous account on your behalf.
6.1 This App uses three types of content: Your Content, Our Content, and Other Members’ Content.
6.2 DeafMatrix is not responsible for contents posted by you or that is posted by other members. Besides, DeafMatrix does not guarantee the authenticity of any information posted on its platform. You are required to independently verify the authenticity/truth of contents you post or that are posted by other members.
6.3 DeafMatrix reserves the right to pull down any content that it believes to be untrue, utterly obscene, abusive or malicious without any prior notice or warning. No liability may arise from such actions whatsoever.
7.1 You commit to post contents that adhere to our Terms and that comply with the national laws of your home country. You are therefore responsible for all contents that you may post from time to time.
7.2 You commit to indemnify, defend, release and hold harmless both DeafMatrix and all Members and Third parties from any and all claims that may arise in connection to the contents that are posted by you.
7.3 You further understand that DeafMatrix will not be held liable under whatever circumstances for the content that you post.
7.4 You understand that your content will be made public and available to users once you post it. As a result, you waive any and all rights, claims and/or interests relating to the right to privacy over your posts. Your content thus remains accessible to all users across the globe including those visiting our site via a link sent to them.
7.5 DeafMatrix retains the right to pull down or remove from the site and/or App, edit, limit, delay display or block access to any and all of Your Content at any time and at our sole discretion.
7.6 DeafMatrix is not bound to display or review any of Your Content hence no obligation may arise for any failure to review or display your Content.
8.1 You Must Not publish on your personal profile, display or otherwise make known any and all personal contact information including bank account details, credit/debit card name or number, URLs, telephone numbers, home address, email address, postcodes, and/or other related information whether belonging to you or other person.
8.2 You disclose such information at your own risk and liability should you choose to communicate the same to any third party through email or private chats.
8.3 You Must exercise care and caution at all times while interacting on our App. Ensure that you are not lured or tricked into blackmail, fraud and/or burglary by limiting your chats off our App.
8.4 If you agree to meet anyone in person, always ensure that your security and that of your property is guaranteed.
8.5 Report to the authorities and to us on any misbehaviour, blackmail or criminal activities that a member commits.
9.1 You understand that other members may generate and circulate information on our platform. Such information is owned by the user posting it and may be displayed on the App and stored on our servers.
9.2 You do not have any rights or claims with regards to Other Members’ Content and your use must conform to the objectives of Our App and services. DeafMatrix allows users to meet and mingle and no use that does not conform to this objective is will be tolerated.
9.3 You Must Not use Other Members’ Content for personal commercial gain, or fraudulent purposes including such use that constitute spamming, harassment, defamation, libel/slander and/ or any other intolerable and unlawful conduct.
9.4 You may report to us any content that is false, inaccurate, utterly offensive, or that is in breach of our Terms of Use or that is prohibited by the laws of your home country.
9.6 DeafMatrix reserves the right to suspend, terminate or delete your account without any prior notice once DeafMatrix determines that you are misusing Other Members’ Content.
9.7 Members agree that all contents that they post are their own and will not violate any copyright, patents, trademarks and/or other intellectual property rights, interests, and /or claims.
9.8 DeafMatrix reserves the right to enforce the Digital Millennium Copyright Act by pulling down any post that violates any copyrighted work.
10.1 You understand that DeafMatrix offers you an opportunity to interact with other users on the App platform and, therefore, you guarantee professionalism during your interaction with others.
10.2 You further understand that such interaction carries with it such risks including but not limited to criminal activities, fraud and blackmail.
10.3 You fully understand that DeafMatrix is not responsible for the conduct of any member on its platform or App and you undertake to exercise care and caution while using our App.
10.4 You understand that DeafMatrix does not conduct any criminal background check on its users or any legal and/or other inquiries into its users’ background. Therefore, you are individually responsible for your interactions with other users on our platform or App.
10.5 DeafMatrix reserves the right at its sole discretion and at any time or upon request to conduct any and all criminal background checks including screening for sex offenders.
10.6 DeafMatrix shall conduct such searches, screening and/or background checks in liaison with the relevant authorities such as the Consumer Reporting Agency, and/or independently examine the available public records.
10.7 You authorize DeafMatrix to conduct any criminal background check and agree that your information provided at registration or any other time will be used for such purposes.
10.8 DeafMatrix does not represent nor warrant the safety of any individual member from blackmail and/or extortion nor does it warrant responsible behaviour among members. No liability shall lie against DeafMatrix for the misconduct of other members.
11.1 All members commit to conduct themselves responsibly and with decorum and respect for self and other members. Some conducts are therefore prohibited when using the App or our site.
11.2 DeafMatrix does not discriminate on any basis including on the basis of race, sex, gender, nationality, sexual orientation, marital status, religion and/or any other legitimate ground recognised by law. Therefore, you must cease and desist from any discriminatory practices while using the App or our site. All conducts reminiscent of hatred, bigotry, or racism are therefore prohibited.
11.3 DeafMatrix further affirms its commitment to the respect, protection and promotion of human dignity. No conduct that offends the dignity of users is allowed including posting of obscene, pornographic, and/or violent materials.
11.4 Users agree not to post any material that is intended to harass, defame, offend, upset, annoy, embarrass, and/or threaten any other user.
11.5 No content that promotes criminal activities, encourages or offers counselling for the commission of an offence, and/or promotes illegal activities such as child trafficking, sex trafficking, slavery, terrorism, money laundering, and/or other international crimes are permitted.
11.6 Members are prohibited from posting any links to other websites for commercial purposes such as promotions, advertisements, sales, premium services, and/or competitions.
11.7 Members agree not to transmit any malware, junk mails, spam, spy ware, viruses, worm programs, adware and/or other malicious codes with the intention of corrupting, damaging, expropriating, wrongly intercepting, interrupting, or limiting the normal functioning of any device, software, hardware, servers, telecommunications, networks and/or other equipment.
12.1 Members agree to strictly adhere to all applicable laws regulating copyright, privacy rights, anti-spam laws, non-discrimination and equal opportunity laws, and related intellectual property laws.
12.2 You must not reproduce, delete, interrupt or otherwise interfere with the configuration of the App or any parts thereof without our express consent.
12.3 Members commit to be professional in their dealings and use of our services. Therefore, you Must Not act in an unlawful manner or unprofessional way by being dishonest, discriminatory, abusive or fraudulent and malicious.
12.4 Members agree to use only their real names and photographs on their profiles and not to abuse other people’s privacy by uploading other members’ details or photographs, or disclose any other personal information without consent or authority.
12.5 You shall not misrepresent your identity, qualifications, current or previous positions and/or affiliations with a person or entity.
12.6 No member may create, operate or disseminate information about pyramid schemes, fraudulent dealings and/or other illegal, exploitative, or malicious activities.
12.7 Members should report any suspicious activity by another member by contacting DeafMatrix. The complaint should state the abuse and the username/profile associated to it.
13.1 Any content found on our site or App that is not either classified as Your Content or Other Members Content remains the content of DeafMatrix. These include but are not limited to App design, user interface, algorithms, sounds, texts, graphics, artwork, logos, and other contents ordinarily associated with our services.
13.2 These contents remain the rightful property of DeafMatrix and may not be edited, reconfigured, expropriated or exploited for personal gain without the written consent of DeafMatrix. Furthermore, Our Content is protected by copyright, trademark and other intellectual property laws that are applicable and subject to change from time to time.
14.1 DeafMatrix grants all users a non-exclusive, limited, personal, non-transferable, revocable licence to access and use Our Content, without the right to sublicense.
14.2 You Must not use, modify, edit, sell or distribute Our Content without our express permission in writing unless the same is permitted by the functionality of the App.
14.3 You Must not use Our Content in any unlawful way or for purposes other than in line with our services.
15.1 By using DeafMatrix’s services, you authorize us to use all contents, posts, pictures, videos and any other form of information without compensation to you.
15.2 You assign all licenses, claims, interests, patents, copyright and/or any other legal right or claim in equity to DeafMatrix for our sole and exclusive use without your permission or benefit.
16.1 DeafMatrix shall collect, distribute, use and/or share Your Contents including personal information, login details and/or traffic and user preferences. Such information shall be governed by our Privacy Policy. Kindly check our Privacy Policy before engaging in our services.
17.1 DeafMatrix shall only be responsible for the details it collects to administer the services to you subject to our Privacy Policy. You are responsible for maintaining the confidentiality of the username and password that you use to register for our services.
17.2 Members shall take reasonable care of their personal information relating to their accounts, and personal electronic devices including login details used to access our services and shall protect DeafMatrix from unauthorised use, hacking, alteration or any damage, loss or stealing of information, algorithms, designs, contents etc by unauthorized persons.
17.3 DeafMatrix does not guarantee proper functioning of the App in relation to internet speed, data processing or any other complication beyond our control.
18.1 You may receive push notifications, texts messages, alerts, and similar messages regarding our services on the App. These may include but are not limited to offers, promotions, products, enhancements and events. You have the option to accept or deny the notifications upon downloading the App.
18.2 You will not receive any alerts or push notifications if you choose to deny the notifications. However, by accepting the push notifications, you agree to receive the notifications which will automatically be sent to you.
18.3 You may also opt out of push notifications if you no longer need them by changing the notifications’ settings on your mobile device. You may equally unsubscribe from email notifications by following the instructions within the email.
18.4 We may use your device location to help customize the content we show you together with opportunities, products and materials. As a result, we may request that you turn on your GPS feature or Bluetooth or any mobile software and/or authorize the App to access your location data. You will be unable to access the customized products, materials and contents if you disable your location feature.
19.1 DeafMatrix does not warrant that the App will be fit for a particular purpose, title, or non-infringement.
19.2 DeafMatrix does not represent, guarantee or warrant that the App will be error free, stay uninterrupted, meet your expectations, or warrant the validity/ accuracy or truthfulness of the content posted by users.
19.3 You acknowledge that your use of the App is at your own risk and no liability may arise for such use.
20.1 DeafMatrix shall not be liable in tort, claim of negligence, breach of contract or proprietary rights arising from your use of the App. You may not therefore claim any form of damages whether direct, indirect, actual, punitive, consequential, incidental, nominal, special, punitive or otherwise.
20.2 DeafMatrix will not be liable for any claim even where it is advised of the possibility of such loss occurring.
20.3. In any event, a claim for liability must not exceed one hundred dollars ($100) upon successful claim and without prejudice to waiver of liability and indemnity clauses under these Terms.
21.1 DeafMatrix reserves the right to modify and/or update these terms from time to time and such terms shall take effect immediately after they are posted on the App. You are kindly advised to check for our updated version whenever engaging our services.
22.1 Members agree to indemnify, release and hold harmless DeafMatrix, its affiliates, partners and employees from any and all losses, liability, claims, obligations, or damages (whether direct, indirect, incidental, actual, consequential, nominal, punitive, or otherwise), equitable relief, and any other legal, equitable, and administrative remedy, of every kind and nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, past, present, or future, arising out of or in any way connected with your interaction with the services offered by DeafMatrix, other Members, and/or other users or entities.
